We are crowdfunding Team Pepper by offering individuals and organizations the opportunity to support Team Pepper and/or become “Founder Members” by purchasing advance membership(s) or partial memberships for others, to Team Pepper before the membership services, including the Membership Site (defined below) are fully developed (each, a “Contributor”). We are inviting You to form a contract with Us. Anyone who backs Team Pepper by becoming a Founder Member or purchasing an advance membership for someone else to become a Founder Member is accepting Our offer, and forming a contract with Us. All Membership Fees are made voluntarily and at Your sole discretion and risk.
Team Pepper will use all funds raised during the crowdfunding period (September 14, 2021 – January 7, 2022) (the “Crowdfunding Event”) to build, host and maintain a membership site that will allow for a membership forum, the exchange of ideas, and the gathering of information by members to guide Team Pepper’s next steps (the “Membership Site”). In exchange, Founder Members will be granted a twelve (12) month membership to the Membership Site once it is launchedin exchange for a ₤20/$37/ €39 fee (“Membership Fees”). All Membership Fees are collected through Stripe. If You participate in the Crowdfunding Event as a Contributor, You hereby authorize Team Pepper to charge You for the Membership Fees via Stripe. You bear the sole responsibility for determining how to treat Your Membership Fees for tax purposes. Team Pepper does not offer any advice or take any responsibility for how You treat Your Membership Fees or for any financial consequences arising out of such treatment. Unlike other crowdfunding sites, there are no service fees associated with the crowdfunding. Apart from Stripe payment processing fees, all Membership Fees will go directly to Team Pepper to be used in the development of the Membership Site.
We are not offering incentives like equity, revenue sharing, or investment opportunities through this Crowdfunding Event.You understand that being a Contributor does not give You any rights in or to Team Pepper, including any ownership, control, or distribution rights, and that Team Pepper shall be free to solicit other funding for Team Pepper, enter into contracts for Team Pepper, allocate rights in or to the Team Pepper, and otherwise direct Team Pepper in its sole discretion. You further understand that nothing in there Terms or otherwise limits Our rights to enter into agreements or business relationships relating to Team Pepper.
Team Pepper does not guarantee that Team Pepper will succeed or that the Membership Site will be delivered or deemed satisfactory. By contributing to Team Pepper, You are supporting an idea, or cause You care about and want to help make happen. Like anyone getting in on an early-stage project, You accept the risk that Team Pepper may experience changes, delays, and unforeseen challenges, or that the Membership Site might not come to fruition. Team Pepper does not guarantee or represent that We will deliver the Membership Site, or that Team Pepper will achieve its goals.
Notwithstanding the foregoing, We will make every reasonable effort to create the Membership Site as soon as reasonably possible after the conclusion of the Crowdfunding Event. We will keep all Contributors updated on Our progress along the way. If We don’t raise enough Membership Fees to develop the Membership Site or every aspect of it, We will make every reasonable effort to use the Membership Fees in the best possible way for Our Contributors. We will:
- Post updates that explain what work has been done, how Membership Fees were used, and what prevented Us from finishing the Membership Site as planned;
- Work diligently and in good faith to bring Team Pepper and the Membership Site to the best possible conclusion in a timeframe that is communicated to Contributors;
- Demonstrate that We’ve used Membership Fees appropriately and made every reasonable effort to complete the Membership Site as promised;
- Be honest, and make no material misrepresentations in Our communication to Contributors; and
- Offer to return any remaining Membership Fees to Contributors, or else explain how those Membership Fees will be used to support the causes Team Pepper cares about in some alternate form. Membership Fees are otherwise non-refundable. Contributors who opt for a subscription payment whereby membership to Team Pepper will auto-renew each year, may cancel at any time prior to the next twelve (12) month period.
Team Pepper has the right to decide who is eligible to contribute to or join Team Pepper. We may in limited circumstances terminate membership without refund, or deny membership, for particularly significant or repeatedviolations of Our Terms, failure to respect others, bullying, threatening, harassment, hatred, racism or the like.
A gift membership is a membership paid for by one person (the gift-giver) to be used by someone else (the recipient), which gives the recipient access to a coupon code to sign up to become a Founder Member or member of Team Pepper for a period of time. The gift-giver can choose to gift an amount equal to a 1-year membership or a 3-year membership to Team Pepper. After a gift-giver purchases a gift membership We will send them an order confirmation email with details the gift-giver can share with the recipient. On the date chosen by the gift-giver, We will send an email to the recipient telling them how to access the gift membership. Prior to the chosen date, gift-giver is welcome to notify the recipient that an email will be arriving with their coupon code. Gift membership purchases are not cancellable by the gift-giver and memberships purchased using a coupon code are not refundable. Gift membership coupon codes will not expire. By activating and/or redeeming a coupon code, the recipient accepts and agrees to these terms and conditions.
You may browse the Site without registering, but as a condition to becoming a Founder Member or member and using certain aspects of the Site, You will be required to register with Team Pepper and select a Username and password (“User ID”). You shall provide Team Pepper with accurate, complete, and updated registration information. Failure to do so may result in immediate termination of Your Team Pepper Membership. You shall not (i) select or use as a User ID or domain a name of another person with the intent to impersonate that person; (ii) use as a User ID or domain a name subject to any rights of a person other than You without appropriate authorization; or (iii) use as a User ID or domain a name that is otherwise offensive, vulgar or obscene. Team Pepper reserves the right to refuse registration of, or cancel a User ID and domain in its sole discretion. You are solely responsible for activity that occurs on Your account and shall be responsible for maintaining the confidentiality of Your Team Pepper password. You shall never use another user’s account without such other user’s express permission. You will immediately notify Team Pepper in writing of any unauthorized use of Your account, or other account related security breach of which You are aware.
Intellectual Property Rights
The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Team Pepper, its licensors, or other providers of such material and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
These Terms permit You to use the Site for Your personal use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on Our Site, except as follows:
- Your computer may temporarily store copies of such materials in RAM incidental to Your accessing and viewing those materials.
- You may store files that are automatically cached by Your Web browser for display enhancement purposes.
- You may print or download one copy of a reasonable number of pages of the Site for Your own personal, non-commercial use and not for further reproduction, publication, or distribution.
You must not:
- Modify copies of any materials from this site.
- Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site.

All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.
You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site:
- In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
- For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
- To impersonate or attempt to impersonate Team Pepper, a Team Pepper employee, another user, or any other person or entity (including, without limitation, by using email addresses associated with any of the foregoing).
- To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which, as determined by us, may harm Team Pepper or users of the Site, or expose them to liability.
Additionally, You agree not to:
- Use the Site in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Site, including their ability to engage in real time activities through the Site.
- Use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site.
- Use any manual process to monitor or copy any of the material on the Site, or for any other purpose not expressly authorized in these Terms, without Our prior written consent.
- Use any device, software, or routine that interferes with the proper working of the Site.
- Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.
- Attack the Site via a denial-of-service attack or a distributed denial-of-service attack.
- Otherwise attempt to interfere with the proper working of the Site.
Team Pepper has no special relationship with or fiduciary duty to Your. You acknowledge that Team Pepper has no control over, and no duty to take any action regarding: which users gains access to the Site; what content Your access via the Site; what effects the Services may have on Your; how Your may interpret or use the Services; or what actions Your may take as a result of having been exposed to the Services. You release Team Pepper from all liability for You having acquired or not acquired Services. Team Pepper makes no representations concerning any Services contained in or accessed through the Site, and Team Pepper will not be responsible or liable for the accuracy, copyright compliance, legality or decency of material contained in or accessed through the Site. IN NO EVENT SHALL THE TOTAL, AGGREGATE LIABILITY OF TEAM PEPPER AND ITS AFFILIATES AND SUBSIDIARIES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS, ARISING FROM OR RELATING TO THE TERMS, SERVICES, OR USER CONTENT, OR FROM THE USE OF OR INABILITY TO USE THE SERVICES EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID TO TEAM PEPPER BY YOU HEREUNDER, OR ONE HUNDRED GBP IF NO SUCH PAYMENTS HAVE BEEN MADE.
You agree to defend, indemnify, and hold harmless Team Pepper, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to Your violation of these Terms or Your use of the Services.
You must be 18 years old.
You must be 18 years or older to be a Contributor and use Our Services. Outside of the European Economic Area (“EEA”), minors between the age of 13 and 18 years are only permitted to use Our Services through an account owned by a parent or legal guardian where the parent has provided affirmative consent and under their direct supervision. Children under 16 residing in the EEA are not permitted to access the Site or use the Services. You are responsible for any and all account activity conducted by a minor on Your account.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with English law. Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration under the LCIA Rules, which Rules are deemed to be incorporated by reference into this clause. The number of arbitrators shall be three. The seat, or legal place, of arbitration shall be London, England. The language to be used in the arbitral proceedings shall be English.
Waiver and Severability
No waiver by Team Pepper of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Team Pepper to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
These Terms and the other material referenced in them are the entire agreement between You and Team Pepper with respect to the Services. They supersede all other communications and proposals (whether oral, written, or electronic) between You and Team Pepper with respect to the Services and govern our future relationship. If any provision of these Terms is found to be invalid under the law, that provision will be limited or eliminated to the minimum extent necessary so that the Terms otherwise will remain in full force and effect and enforceable. The failure of either You or Team Pepper to exercise any right provided for in these Terms in any way won’t be deemed a waiver of any other rights.
These Terms are personal to You. You can’t assign them, transfer them, or sublicense them unless You get Team Pepper’s prior written consent. Team Pepper has the right to assign, transfer, or delegate any of its rights and obligations under these Terms without Your consent. Team Pepper will provide You notice via email, written notice, or by conspicuously posting the notice on Our Site.
Changes to the Terms
We may revise and update these Terms from time to time in Our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Site thereafter.
Your continued use of the Site following the posting of revised Terms means that You accept and agree to the changes. You are expected to check this page each time You access this Site so You are aware of any changes, as they are binding on You.
